ATHLETIC BOOSTER CLUB
CONSTITUTION AND BY-LAWS
Article I. Name
Section 1:
"Simon G. Atkins Athletic Booster Club represents the official name of the organization.
Section 2: The official start date of organization: August 29, 2005
Article II. Purpose
Section 1:
To enrich, improve, develop, and support all athletic activities of Atkins High School.
Section 2:
The organization is not formed for financial gain, and no part of the assets, income, or profits is to be distributed to benefit its officers or members, or otherwise attempting to influence legislation, and the organization shall not participate in, (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.
Article III. Membership
Section 1:
Membership is open to any person who expresses a desire to promote the programs and policies of this organization.
Section 2:
Membership does not provide avenues for (counsel) advisement, appeal, redress, or complaint regarding students and/or staff members of Atkins High School.
Section 3:
Membership shall follow the rules and policies of Atkins High School, and be in compliance with North Carolina State School laws.
Section 4:
Membership dues will be reviewed annually, and determined by a majority vote of the membership present at a duly constituted meeting.
Article IV. Officers and Board of Directors
Section 1:
The officers of the organization will be President, Vice-President, Secretary, Treasurer, and Historian.
Section 2:
Board of Directors shall be composed of eleven (11) voting members:
(1)The Athletic Director of the school.
(5) The Officers of the organization.
(5) Elected from the membership of the organization.
The past president of the organization and the principal of the school will serve as non-voting members of the Board.
Section 3:
Officers and Directors are elected annually, and can serve no more than 2 consecutive terms.
Section 4:
Officers and Directors shall be elected at the April meeting of the organizations membership with newly elected officers and directors assuming duties at the May meeting.
Section 5:
In the event of a vacancy of office or on the Board of Directors, except for the office of President, for any reason during the term of that office, it shall be filled by appointment of majority vote of the Board of Directors and such appointment shall expire with the original term of the elective office. In case of a vacancy in the office of President, the Vice - President will succeed to the office of President.
Section 6:
Any Officer or member can be removed from office or membership by two-thirds vote (2/3) of the general membership present at a duly constituted meeting.
Article V: Duties of Officers and Board of Directors
Section 1:
President The President shall be the chief executive office of the organization, and Chairman of the Board of Directors. He/She will preside at all meetings of the organization, and the Board of Directors, appoint all standing and special committees, and shall see that each of these committees function and shall cooperate with the chairman of each committee toward that end. The President will have general control of the affairs of the organization between meetings.
Section 2:
Vice-President The Vice-President shall preside at all meetings in the absence of the President, and shall run the rules of order for all meetings. The Vice-President shall discharge the duties of President in case of a vacancy in the office, and shall perform other duties as assigned by the President.
Section 3:
Secretary The Secretary shall conduct general correspondence of the organization subject to direction of the President and the Athletic Director. The Secretary shall give notice of all meetings, keep an accurate list of membership, and keep/make available minutes of all meetings.
Section 4:
Treasurer The Treasurer shall receive all moneys for the organization, and deposit same in a bank or banks approved by the Board of Directors. Disbursements must be by check and substantiated by invoice or receipt. All checks must be signed by the Treasurer and one other Officer. The Treasurer may deposit funds not needed for immediate expenditure in an interest bearing account. The Treasurer will keep accurate records of accounts, and prepare monthly financial reports, and develop an annual budget for the Board of Directors, and general membership.
Note: The Board of Directors can require an annual audit or review of the financial records of the organization at any time.
Section 5:
Historian The Historian will keep a history of the school's athletic activities through a written, photographic, video, memorabilia, or other collections as deemed appropriate. Such collections will be presented to the school for safe keeping in a place designated by the Principal and Athletic Director.
Section 6:
Board of Directors The Board of Directors shall be responsible for the execution of the authorized business and policies of the organization. All new business shall be first considered by the Board of Directors and shaped for presentation to the general membership if, in the opinion of the Board, it is advisable to do so.
It shall authorize all expenditure recommendations and shall not disburse any funds non-essential to the stated purpose of the organization.
A majority vote of the Board of Directors shall govern, and it has the power to modify or overrule any action by an Officer of the organization. Monthly meeting will be held by the Board of Directors, and special meetings may occur as called for by the President or by five (5) members of the Board of Directors.
The Board of Directors shall receive committee reports/recommendations, and shall submit its recommendations to the organizations membership.
Article VI: Committees
Section 1:
Members of the organization may be appointed to more than one committee but cannot serve as chairperson in more than one.
Section 2:
The chairperson of committees shall be appointed by the President and serve a one (1) year term.
Section 3:
Standing committees shall be: Membership/Business Sponsor, Fund Raising, Merchandise, Concessions, Nominating, Budget, Publicity/Communication,Team Representative.
Section 4:
Special committees shall be instituted as deemed necessary by the Officers.
Section 5:
The chairperson of a committee shall present reports at general meetings, and these reports shall be included in the minutes of the general meeting.
Section 6:
Committees can be made up of as many people as deemed necessary by the committee chairperson. Members can be added as needed throughout the year.
Section 7:
Duties of Committee Chairpersons:
Membership/Business Sponsor Chairperson: Promote general membership, and Business Sponsorships of the organization through actively recruiting new members/sponsors. Assist the Secretary in maintaining an accurate membership Business Sponsor list.
Fund Raising Chairperson: Supervise all active fundraising projects, and maintain a list of potential projects for future use.
Merchandise Chairperson: Select, purchase, and organize the sales of approved merchandise at all school and organization events. Work closely with Treasurer to ensure proper bookkeeping/accounting procedures are in place.
Concessions Chairperson: Organize and staff concession sales at all designated sports events. Work closely with Treasurer to ensure proper bookkeeping/accounting procedures are in place.
Nominating Chairperson: Submit slate officers and board members for April meeting.
Budget Chairperson: Present a proposed annual budget to the membership at annual meeting Assist the Treasurer in accounting procedures, and management of organizations funds.
Publicity/Communications Chairperson: Provide on-going communication to the public at large through website updates, and press releases as deemed necessary by the organization.
Team Representative Chairperson: Ensure each sports team is represented in the organizations planning, and policy process.
Article VII: Meetings
Section 1:
Monthly meeting will be held for the organizations membership. The time and place for these meetings will be determined by the Board of Directors and communicated to the membership.
Section 2:
The majority of those members present at an organizational meeting will represent a quorum.
Section 3:
The proceedings of all meetings shall be conducted by Robert's Rules of Order unless modified by this Constitution and By-Laws.
Section 4:
The April meeting agenda shall include the election of Officers/Directors with the new Officers/Directors commencing duties at the May meeting.
Section 5:
The September meeting will be designated as the organizations annual meeting. Projects and annual budget will be presented to the membership during this meeting.
Article VIII: Capital and Liability
Section 1:
The capital of the organization shall consist of membership fees, donations, concessions, and funds collected from other activities sponsored by the organization.
Section 2:
No one other than the President, Vice-President, Secretary, Treasurer, or Historian can obligate the organization for any debt(s), or disbursement of funds without the approval of the Board of
Directors. All disbursements shall be for the specific reason of promoting the purpose of the organization as stated in the Constitution and By-Laws.
Section 3:
Expenses up to $250.00 can be authorized by the Treasurer.
Section 4:
Expenses over $250.00 must be approved by the Board of Directors.
Section 5:
Expenses for items not appropriated in the annual budget can only be acted on if there are sufficient funds in the treasury beyond the funds allocated for those items approved in the annual budget.
Article IX: Other Requirements
Section 1:
The Athletic Director shall submit proposed needs to the Board of Directors two (2) times per year. These requests should be in writing and presented at the August and January meeting of the board.
Section 2:
Annual budget recommendations shall be reviewed by the Board of Directors and presented to the membership at the annual meeting held each September.
Article X: Compensation
Section 1:
The Officers, Board of Directors, and members at large shall serve without compensation for such services, and no member of the organization, Officers, or Directors shall either directly, or indirectly, be paid any dividend or share in any proceeds of sale or division of property of the said organization or in any way receive any pay. No rewards or incentive pay shall be given to anyone providing services for the organization.
Article XI: Dissolution of the Organization
Section 1:
In the event the organization is dissolved, any monies and/or assets of the organization shall be turned over to Simon G. Atkins High School without recourse.
